Article II.3 of the Bylaws adopted December 8, 1994, revised July 31, 2008:

• The term and election of the directors shall be as follows:
• Mandated directors serving by virtue of their public positions shall serve as long as they hold the specified position. Their replacement will automatically assume that Board position.
• Other mandated and non-mandated directors will be elected by the Board to serve a three-year term and shall not be eligible to serve for more than two consecutive three-year terms.
• Each director shall hold office until his or her, resignation, retirement, removal, disqualification, term expiration, death, or until a successor shall be elected.
